    STANDARD TERMS AND CONDITIONS OF SALE

    Company Details: Rian James Consulting LTD trading as GRUNTT. (Company No. 15965508) 

    Application:
    These terms apply to all digital products and services provided by GRUNTT. The client explicitly waives its own standard terms and conditions. Any derogation must be expressly agreed to in advance in writing.

    1. Invoicing and Payment Terms

    • Payment Window: All invoices are payable within 14 days of the invoice date unless otherwise specified in writing.

    • Setup Fees & Project Delivery: Project setup fees are due upon the delivery of the project. Under no circumstances will a project be made live or handed over to the client until the setup fee has been paid in full.

    • Late Payments: In the event of non-payment 14 days past the due date, GRUNTT. reserves the right to apply an interest charge of 5% to the outstanding balance. An additional 5% interest charge will be applied for every subsequent 14-day period the invoice remains unpaid, up to a maximum total penalty of 20%.

    • Service Suspension: GRUNTT. is authorised to suspend any provision of services without prior warning in the event of late payment.

    • Debt Recovery: If a payment is still outstanding more than sixty (60) days after the due date, GRUNTT. reserves the right to engage a debt recovery company. All legal and recovery expenses incurred will be entirely payable by the client.

    2. Subscriptions, Recurring Costs, and Cancellations

    • Billing Cycle: Recurring monthly costs will be billed on the same business day each month (or the nearest applicable business day).

    • Cancellations: If the client wishes to cancel any ongoing subscriptions or services managed by GRUNTT., they must provide a minimum of 30 days' written notice.

    • Third-Party Services: Costs for third-party services (including but not limited to Odoo, Google Workspace, domain hosting, and VPS) are invoiced monthly. These costs may fluctuate in alignment with the pricing set by the third-party provider. GRUNTT. will provide adequate notice to the client prior to any price changes for these services.

    • API Usage: Standard API credits are included within your monthly recurring costs. However, extensive overuse of API calls may incur extra charges. GRUNTT. will notify the client if their usage exceeds standard limits.

    • Yearly Payment Price Lock: Clients who choose to pay for their services annually upfront will lock in their price for that 12-month period. This protects the client from any mid-year increases in API token usage costs or third-party subscription fees.

    3. Refunds

    • Strict No Refund Policy: As GRUNTT. provides exclusively digital products, automation builds, and consulting services, all sales are final. We do not offer refunds under any circumstances once work has commenced or a service has been provisioned.

    4. International Taxes and Withholding

    • Certain countries apply withholding at source on the amount of invoices in accordance with their internal legislation. Any withholding at source must be paid by the client directly to the relevant tax authorities. Under no circumstances can GRUNTT. become involved in or absorb costs related to another country's tax legislation. The full invoice amount remains due to GRUNTT. in its entirety.

    5. Liability and Claims

    • GRUNTT. undertakes to do its best to supply performant services in due time in accordance with agreed timeframes. However, none of our obligations can be considered as a strict obligation to achieve specific commercial results.

    • GRUNTT. cannot, under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.

    • To be admissible, any claim or dispute regarding services must be notified to GRUNTT. via recorded delivery to our registered office within 8 days of the provision of the services.

    6. Governing Law

    • All contractual relations, disputes, and agreements will be governed exclusively by the laws of England and Wales.
